When undergoing company formation in Lebanon, several essential documents are required to ensure the legal establishment of the business. Firstly, the company's Articles of Incorporation or Memorandum of Association must be drafted and signed by the company founders, detailing the company's objectives, capital, and structure. This document needs to be notarized by a Lebanese notary public.
Next, proof of identity for all company shareholders and directors is required. This includes valid copies of passports or national identification cards. Additionally, proof of address (such as utility bills or lease agreements) for each shareholder and director is necessary.
A bank certificate confirming the deposit of the company's minimum capital is also required, which must be done in a Lebanese bank. For a limited liability company (LLC), the minimum capital requirement is typically low, but for a joint-stock company, it can be higher.
Moreover, a trade name approval from the Ministry of Economy and Trade must be obtained to ensure that the proposed company name is unique and complies with Lebanese regulations. Finally, if applicable, specialized permits or licenses depending on the nature of the business (e.g., financial, medical, or industrial activities) may also be required.
These documents, along with other legal and administrative forms, are essential for completing company formation in Lebanon.
